Allsop P & Meagher JA:

61. ….It is undoubted that contractual arrangements do not only arise out of formal offer and acceptance. In some circumstances, it will be open to a court apprised of the commercial context and the acts, including words, of the parties to interpret the engagements of the parties to ascertain the existence and extent of a legal relationship. A relationship and a body of conduct may evince a clear mutual intention to be legally bound in a particular respect or a relationship or a document may be “instinct with an obligation”, imperfectly expressed: Moran v Standard Oil Co211 NY 187 at 198 per Cardozo J (Court of Appeals, 1914).
